Warde Advogados co-authored Bill No. 4,303 - “Special Regime of Simplified Corporations” to improve the general business environment in Brazil (please access http://www.saraiva.com.br/regime-especial-da-sociedade-anonima-simplificada-5822435.html for more information on this Bill).
The purpose of the Bill – submitted to the Brazilian National Congress by Congressman Laércio Oliveira – is to repeal Article 294 of Law No. 6,404/76 and replace it with Articles 294-A to J, to set forth the Special Regime for Simplified Corporations (“Regime Especial da Sociedade Anônima Simplificada – RE-SAS”). Companies could opt for this regimeif their NAV do not exceed BRL 48 million.
Corporations opting for the simplified regime (RE-SAS) are allowed to: (i) be held by a single shareholder - either an individual or a legal entity (ii) not publish several documents such as balance sheets and financial statements in newspapers, provided that such information is available at the corporation’s website and is registered with the board of trade – this measure would save significant costs; (iii) adopt distance voting for shareholders’ meetings (online); (iv) distribut profits disproportional to equity breakdown; (v) have a single officer with unlimited term of in office and (vi) freely increase or reduc the rights of shareholders to leave the company and to of remov defaulting shareholders if these measures are set forth in the bylaws.
This is an initiative to perfect the Brazilian legal corporate framework, particularly in respect of corporate types for small and medium-sized companies, that are adversely affected by the lack of an appropriate legal framework.”
